1. Acceptance of Terms
By accessing, browsing, or using any tool on the Utilify platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any provision herein, you must discontinue use of the platform immediately.
We reserve the right to modify these terms at any time. Material changes will be communicated via a banner notice on the site for at least thirty (30) days prior to taking effect. Continued use after such changes constitutes your acceptance of the revised terms.
2. Use of Service
Utilify is provided free of charge for both personal and commercial use. You may use the tools to process, convert, analyze, and transform files and text strings that you own or have explicit permission to manipulate. All output generated by the tools belongs to you, and Utilify claims no intellectual property rights over your data or results.
While the platform is open to global use, you are solely responsible for ensuring that your usage complies with all applicable local, national, and international laws, including but not limited to copyright, data protection, and export control regulations.
3. Fair‑Use Thresholds & Prohibited Conduct
Utilify is designed for interactive, human‑driven utility workloads. To preserve service quality for all users and protect the integrity of our client‑side infrastructure, the following activities are explicitly prohibited:
- Automated scrape bots — any script, crawler, headless browser, botnet, or automated agent that systematically extracts data, enumerates tool endpoints, or mines the site without prior written consent.
- Malicious loop operations — programmatically triggering tool executions in rapid succession or infinite loops for the purpose of generating synthetic load, skewing analytics, or circumventing rate limits.
- Stress testing & denial‑of‑browser — continuous stress testing, memory exhaustion attacks, or any deliberate pattern of usage designed to degrade browser performance, crash the client runtime, or render the platform unavailable to other users.
- Illegal content processing — using Utilify to process, convert, or distribute content that violates applicable law, including malware, prohibited cryptography, CSAM, or pirated material.
We monitor aggregate traffic patterns to detect anomalous behavior. Violations of this section may result in immediate IP‑level blocking, termination of access, and cooperation with law enforcement where required by statute.
4. No Warranty & Liability Limitation
All Utilify tools are provided strictly on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. This includes, without limitation, warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non‑infringement.
Because all processing occurs client‑side within your own browser, you bear full responsibility for verifying the correctness, completeness, and safety of every output before relying on it in production, financial, legal, or medical workflows. Utilify shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the platform.
5. Indemnification
You agree to indemnify, defend, and hold harmless Utilify, its operators, affiliates, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your violation of these Terms, your misuse of the platform, or any content you process through the tools.
6. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Utilify's primary operating entity is registered, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through good‑faith negotiation, and if unresolved, through binding arbitration in the same jurisdiction.
7. Changes to the Service
We may update, deprecate, or remove individual tools, categories, or features at any time and without prior notice. We have no obligation to maintain backward compatibility or preserve deprecated functionality. Continued use after such changes constitutes your acceptance of the updated service configuration.
